Term & Conditions

These Terms & Conditions (“Terms”) govern your use of the website located at https://sparkvist.com/ (the “Site”), and your engagement with the services provided by Spark Vist (“we”, “us”, “our”). By using the Site and/or engaging our services, you agree to be bound by these Terms.

Services Overview

We offer digital marketing services which may include, but are not limited to:

  • Web Design & Development
  • Search Engine Optimization (SEO)
  • Meta Ads / Social Media Ads Management
  • Other digital marketing, content creation, analytics and integration services

When you engage Spark Vist for a project, we will typically enter into a separate agreement or scope of work (“SOW”) which will define specific deliverables, deadlines, fees and other particulars.

Client Responsibilities

When you engage us, you agree to:

  • Provide accurate, complete and timely information and access (for example login credentials, creative assets, brand guidelines) as required to deliver the service.
  • Approve deliverables in a timely manner and provide feedback when requested.
  • Comply with all applicable laws, regulations and third‑party terms (for example platforms such as Meta/Facebook, Google, etc.).
  • Refrain from using our services for unlawful, fraudulent or unethical activities. Failure to fulfil your obligations may delay delivery or lead to additional charges or termination of services.

Fees, Payment & Refunds

  • The fees for our services will be set out in your SOW or contract.
  • Unless otherwise agreed, payment is due in advance or according to the milestone schedule defined in the SOW.
  • Late payments may attract interest and/or suspension of services.
  • Unless expressly provided in writing, refunds are not guaranteed for services rendered or campaigns already executed.
  • Additional work outside the defined scope will require a written change order and may incur extra fees.

Deliverables, Ownership & Use

Contact me

    • Upon you paying all outstanding fees, we will grant you ownership (or licence) of the final deliverables as defined in the SOW (e.g., website, design files, ad‑campaign assets).
    • We retain ownership of our pre‑existing intellectual property or proprietary materials (for example code libraries, frameworks, methodologies) used in providing the service unless otherwise agreed.
    • We may showcase the work in our portfolio or marketing materials unless you specifically request confidentiality in writing.

    Performance & Results

    • While we commit to delivering high‑quality services, we do not guarantee specific outcomes (such as specific search engine rankings, ad performance metrics or revenue targets) unless explicitly stated in writing.
    • Many factors influencing results are outside our control (for example algorithm changes, user behaviour, third‑party policies).
    • You agree that our liability is limited in accordance with Section 8 below.

    Confidentiality & Data Protection

    • Each party agrees to keep confidential any non‑public information disclosed by the other party in connection with the services.
    • We will implement reasonable measures to protect your data; however you acknowledge that no system is completely secure and we cannot guarantee absolute data protection.
    • Where applicable, our collection and use of your personal data is governed by our Privacy Policy [link to privacy policy].

    Website Use & Access

    • You may use the Site for lawful purposes only and in accordance with these Terms.
    • You must not use the Site in any way that could damage, disable or impair it or interfere with any other user’s use of the Site.
    • We reserve the right to suspend or terminate access to the Site at any time without prior notice.

    Limitation of Liability

    • To the fullest extent permitted by applicable law, our total liability to you for any claim arising out of or in connection with these Terms or our services shall not exceed the total fees paid by you to us under the applicable SOW.
    • We shall not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data, business or goodwill.
    • Nothing in these Terms shall exclude or limit liability for death or personal injury caused by our negligence or for any other liability which cannot by law be excluded or limited.

    Termination

    • Either party may terminate the agreement in the SOW on the terms set out therein (for example by written notice).
    • Upon termination, you will pay for all services rendered up to the termination date and any work in progress.
    • We may suspend or terminate our services if you breach these Terms or fail to pay when due.

    Changes to Terms

    • We may update these Terms at any time. The latest version will be posted on the Site and effective as of the “Effective Date” above.
    • Your continued use of our site or services after any changes constitutes your acceptance of those changes.
    • It is your responsibility to review these Terms regularly.

    Miscellaneous

    • If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
    • The headings of sections are for convenience only and do not affect interpretation.
    • These Terms and the relevant SOW(s) constitute the entire agreement between you and us regarding your services and supersede any prior agreement, understanding or representation.
